ARTISOFT AND SCHOOF ANNOUNCE SETTLEMENT AGREEMENT AND PURCHASE BY ARTISOFT
OF SCHOOF STOCK

TUCSON, AZ - September 13, 1993 - Artisoft, Inc. (NASDAQ:ASFT). Artisoft,
Inc. and C. John Schoof II, the founder and former Chief Executive Officer
of the Company, announced today that they have reached an agreement for
settlement of the previously announced arbitration relating to Schoof's
termination as Artisoft's Chief Executive Officer. As part of the
settlement, Artisoft will purchase from Schoof 3,487,500 shares of
Artisoft stock, representing approximately 20.4% of the outstanding stock,
as well as all outstanding Artisoft stock options held by Schoof, for $255
million. All claims asserted by Schoof and Artisoft in the arbitration
proceeding will be dismissed, and Schoof will resign from Artisoft's Board
of Directors. Subject to certain conditions, the closing of the
transaction is expected on or about September 20,1993.

William Keiper, Chief Executive Officer of Artisoft, stated: "We are
pleased to have been able to resolve this situation in a manner mutually
acceptable to Jack and Artisoft. We believe that the purchase of Jack's
stock, with the resulting effect on Artisoft's earnings per share,
represents a good investment for Artisoft's shareholders. At the same
time, the Company avoids the potential for disruption which could be
created by a protracted dispute. Jack's entrepreneurial talents were
instrumental in Artisoft's success, and we wish him well in his future
pursuits." Schoof stated: "The settlement with Artisoft allows me to move
